The CFLCW Membership will be asked to endorse a major change in the organizational structure, mission, membership requirements and governance of the Council. Included in the proposal is a change in the name of the Association. On September 30, the Board of Directors adopted the following Resolution, and proposes that the Membership enact a similar Resolution which will be distributed to the Membership on October 12, 2026 as required by the CFLCW Bylaws. Here is the Board Resolution adopted unanimously by the Board on September 30, 2026:
RESOLUTION OF THE BOARD OF DIRECTORS
OF THE COLLABORATIVE FAMILY LAW COUNCIL OF WISCONSIN, INC.
WHEREAS, the Collaborative Family Law Council of Wisconsin, Inc. (“Council”) has for many years supported the development and use of collaborative family law and interdisciplinary approaches to the resolution of family disputes;
WHEREAS, the practice of family dispute resolution has evolved substantially, including the increased use of mediation, interdisciplinary services, consensual dispute resolution, and other approaches designed to assist families in resolving disputes outside of traditional litigation;
WHEREAS, the Board of Directors believes that the Council can better serve its members, the profession, families, and the public by embracing a broader mission that recognizes collaborative practice, mediation, and related consensual dispute-resolution processes;
WHEREAS, the Board believes that the Council’s name should accurately reflect its broader mission and professional membership;
WHEREAS, the Board has considered changing the name of the organization from “Collaborative Family Law Council of Wisconsin, Inc.” to “Collaborative & Mediation Professionals of Wisconsin, Inc. ”;
NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors approves and recommends to the membership the proposed transition of the Council to Collaborative & Mediation Professionals of Wisconsin, Inc.;
BE IT FURTHER RESOLVED, that the Board recommends to the membership that the Articles of Incorporation be amended, as legally required, to change the name of the corporation to: Collaborative & Mediation Professionals of Wisconsin, Inc.
BE IT FURTHER RESOLVED, that the Board recommends adoption of amended and restated Bylaws designed to establish a broader, multidisciplinary organization supporting collaborative practice, mediation, and other appropriate consensual dispute-resolution processes covering a range of disputes;
BE IT FURTHER RESOLVED, that the Board authorizes preparation of proposed Articles of Amendment, amended and restated Bylaws, transition provisions, and related organizational documents for consideration and approval pursuant to the Council’s existing Articles, Bylaws, and applicable Wisconsin law;
BE IT FURTHER RESOLVED, that the Board recommends that the transition preserve the Council’s existing corporate identity, assets, records, membership, contracts, programs, and tax-exempt status to the extent permitted by law;
BE IT FURTHER RESOLVED, that the officers of the Council are authorized to take such actions as are reasonably necessary to implement the transition following the required approvals, including filings with the Wisconsin Department of Financial Institutions and appropriate notification to the Internal Revenue Service and other governmental, professional, financial, contractual, and organizational entities;
BE IT FURTHER RESOLVED, that the Board shall establish an effective date for the new governance structure and shall adopt appropriate transitional provisions to ensure continuity of leadership, membership, programs, finances, and operations.
